Legal Services:
1. Negotiating on behalf of the company major commercial contracts including Financing agreements, Concession agreement, government guarantee, direct agreements, loan agreements etc.
2. Drafting Joint venture partnership agreements with Financial institutions/ commercial Banks and investors on financing equity and loans for the development of projects.
3. Drafting and review of Financing agreements, government guarantee and loan agreements.
4. Provide legal advice and contract management advice to Senior management and working closely with the project management team/consultant in monitoring the implementation of contracts of projects in progress.
5. Playing the legal advisory role in preventing or minimizing claims and litigations from our partners and contractors.
6. Drafting and vetting of MOA, MOU, Loan agreements, service legal agreements, and employment contracts, if any, Undertakings and authority letters, etc.
7. Ensure the tenure of the firms of external Lawyers are managed and to review their commitment to UDL on an annual basis.
8. Working with recovery unit to enforce execution of legal contracts and definitive judgments on the Company’s obligors.
9. Working closely with Consultants in monitoring compliance and the progress of contract implementation to guarantee that it abides the stipulated procedures and contractual work plan,
10. To insure compliance of the provisions of the company law and rules made there under and other statutes and bye-laws of the company.
11. To ensure the Company complies with regulatory Agencies rules and laws.
12. Participating in Settlement of disputes involving employees-employer to ensure effective legal mitigation & compliance with rules and regulation and laws in force.
Company Secretary Services/Corporate Affairs
1. To prepare the agenda in consultation with the Chairman and the other documents for all the meetings of the board of directors.
2. To arrange with the consultation of chairman, the annual and extraordinary general meetings of the company and to attend such meetings in order to ensure compliance with the legal requirements and to make correct record thereof. Make sure minutes of the meetings of shareholders, the Board of Directors and any other Company legal documents are well prepared and accurately kept.
3. To plan for the Company Board meetings, draw up a Board calendar and invite Board members to attend the Board meeting.
4. To arrange with and to call and hold meetings of the Board and to prepare a correct record of proceedings.
5. To attend the broad meetings in order to ensure that the legal requirements are fulfilled, and provide such information as are necessary.
6. Lead improvements to corporate governance policies and practices
7. To carry out all matters concerned with the allotment of shares, and issuance of share certificates including maintenance of statutory Share Register and conducting the appropriate activities connected with share transfers.
8. To prepare, approve, sign and seal agreements leases, legal forms, and other official documents on the company’s behalf, when authorized by the broad of the directors or the executive responsible.
9. To ensure that affairs of the company are managed in accordance with its objects contained in the articles of association and the provisions of the Companies Law.
• Ensure that WV Rwanda (WVR) practices and processes are law compliant and advise accordingly where there are gaps.
• Support the WVR in any legal issue either with staff or contractor liaising with organization’s lawyer
• Represent WVR in dealing with externally contracted legal firms as well as represent.
• Drafting of the Host Country agreement with the Republic of Rwanda.
• Support and advise the Leadership in developing legally compliant policies, all types of contracts and employee related policies.
• Review and draft contracts, agreements and local policies and ensure that they are in compliance with all statutory or legal requirements.
• Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
• Handling claims of Mal administration from the general public which are committed in Public and Private institutions to ensure that public, private authorities and their staff comply with the laws and other statutes governing their actions.
• To prepare seminars for Government employees and staff in public and private institutions, in non-government organizations so as to improve their conduct and working methods
